Understanding Your Master Services Agreement (MSA)

The Master Services Agreement (MSA) is the overarching legal contract that governs your entire relationship with Progressive Robot. It defines the rules that apply across all work we do together.

What the MSA Covers

  • Services framework: How services are ordered, delivered, and accepted
  • Payment terms: How invoicing, late payment, and disputes work
  • Intellectual property: Who owns what we create
  • Confidentiality: How we protect each other's information
  • Liability: Limits on what either party can claim from the other
  • Termination: How and when either party can end the relationship
  • Governing law: Which country's laws apply (England and Wales)

MSA vs. Statement of Work

The MSA sets the rules; the Statement of Work (SoW) defines the specifics of each project. The SoW operates under and is subordinate to the MSA. If there is a conflict between the two documents, the MSA prevails unless the SoW explicitly states otherwise.

Reviewing Your MSA

Amendments

Amendments to the MSA require written agreement from both parties. We will not make unilateral changes to your MSA mid-engagement without your consent and signature.
