How to Request a Contract Amendment
Over the course of a long engagement, circumstances change. This article explains how to formally amend your contract with Progressive Robot when needed.
Common Reasons for Amendment
- Changing payment terms (e.g. extending payment window)
- Adding or removing services from a retainer
- Updating contact details or authorised signatories
- Changing the notice period
- Extending or renewing the engagement under new terms
- Adding data processing schedules or GDPR addendums
The Amendment Process
- Request: Contact your Account Manager with the change you are seeking and the reason
- Draft: We will prepare a written amendment or addendum (depending on the nature of the change)
- Review: You review — we recommend involving your legal team for significant changes
- Sign: Both parties sign the amendment via DocuSign. The amendment is effective from the agreed date, not retrospectively (unless explicitly stated)
What Amendments Cannot Do
Amendments cannot remove rights that have already accrued (e.g. you cannot retrospectively waive late payment fees that have already been incurred). They also cannot be backdated to relieve obligations from a past period unless both parties explicitly agree in writing.
Verbal Agreements
Verbal agreements to change contract terms are not binding. All contract changes must be in writing and signed by authorised representatives of both parties to be enforceable.
